This is a legal agreement (the "Agreement") between you and PSPDFKit GmbH, Kaiserstrasse 117/17, 1070 Vienna, Austria, company register number FN 548939P, Commercial Court Vienna, doing business as Nutrient ("Company"), for your use of the Nudocs desktop application, its updates, and the online services it connects to (together, the "Services"). "You" refers to the individual who installs or uses the Services or, if the Services are used on behalf of an entity, the entity that authorized such use. By signing in to the application, you agree to this Agreement and confirm that you have read the Privacy Policy. Your use of DWS is governed by the DWS End User License Agreement, which you accept when you create a Nutrient account or authorize the application on the Nutrient sign-in page.
"Data" refers to information, content, and files that you open in, create with, or submit through the Services. Any software, content, or materials associated with the Services are protected by intellectual property laws and treaties.
Subject to this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Nudocs desktop application on computers that you own or control. You may not copy, modify, distribute, sell, or lease the application, except as this Agreement or applicable law permits.
The application has no plans of its own. Features that run through DWS are provided under your DWS plan, and the plan limits and eligibility rules of the DWS End User License Agreement apply to your use of them. You must be at least 16 years old and able to enter into a binding agreement to use the Services.
Under those rules, Commercial Use of DWS by an Enterprise requires a paid DWS plan. "Enterprise" and "Commercial Use" have the meanings given in the DWS End User License Agreement.
You need a Nutrient account to use the Services. You are responsible for keeping your sign-in credentials secure and for all activity under your account.
The Company may modify the features, availability, or limits of the Services from time to time. The Company will provide the Services in accordance with this Agreement.
The application checks for updates when it starts and regularly while it runs. It downloads updates automatically and installs them when you quit the application. Some features may stop working if you do not install an update. You agree to receive these updates automatically.
If you send the Company feedback or suggestions about the Services, the Company may use them without any obligation to you.
You keep all rights in your Data. Documents stay on your computer, except when you use a feature that sends them to the Company for processing, or as described in the Privacy Policy (for example, document text and file contents included in shared chats). You grant the Company the rights needed to process your Data to provide the Services. For details on how we handle Data, including usage data the application collects, see our Privacy Policy.
Features that sign you in, process documents on Nutrient's servers, or use the AI assistant are provided through Nutrient Document Web Services ("DWS"), which the Company operates. Your use of DWS through the application is governed by the Nutrient DWS API End User License Agreement, including its plan limits, data retention terms, and data processing terms. If this Agreement and the DWS End User License Agreement conflict on anything that happens in DWS, the DWS End User License Agreement governs.
Do not open or submit sensitive personal or regulated data unless you have obtained all necessary rights and permissions and have confirmed that such use is permitted. While "Share chats" is on, document text and file contents that the AI reads are included in shared chats, as described in the Privacy Policy. You can turn this off in Settings → Privacy.
The Services use artificial intelligence to read, summarize, search, and edit documents. AI output can be inaccurate or incomplete. You are responsible for reviewing AI output before you rely on it, and for implementing procedures to verify the accuracy of Data input and output. AI output is not legal, financial, medical, or other professional advice. You may not use the AI features to create unlawful content or in breach of the acceptable use terms of the DWS End User License Agreement.
You choose how much access the AI agent has. In Sandboxed mode, the agent edits files only in the task's workspace, reaches only approved online services, and can read files across your computer while attempting to avoid secret information. In Full access mode, the agent can run commands, use the internet, and create, edit, upload, or delete files anywhere on your computer without asking first. You are responsible for the access mode you choose and for the tasks you give the agent.
You don't have to pay to download the application. Use of DWS through the application, including subscriptions and credits, is billed to your Nutrient account under the fees, usage limits, and payment terms of the DWS End User License Agreement.
The Services are intended for normal, lawful use. Abuse or misuse of the Services may result in suspension or termination of access.
You may not resell, distribute, lease, or provide the Services to third parties on a time-share or service bureau basis unless explicitly authorized in writing by the Company.
The Company and its suppliers retain all rights, title, and interest in the Services, including all related intellectual property. You may not remove, obscure, or alter any proprietary notices, or attempt to reverse engineer, decompile, or access the Services in a manner not permitted by this Agreement or applicable law.
The application includes open-source software. The license terms for these components are listed in the application, and they govern your use of those components.
You may stop using the Services and uninstall the application at any time. The Company may suspend or end your access if you breach this Agreement. The Company may also discontinue the Services with reasonable prior notice. The sections Your Data, Proprietary rights, Disclaimer; limitations of liability, and Governing law survive termination.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICES OR AI OUTPUT WILL BE ACCURATE, UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES. THE TOTAL LIABILITY OF THE COMPANY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM AND (B) EUR 100.
Nothing in this Agreement limits or excludes the Company's liability for intent or gross negligence, for death or personal injury, or any other liability that cannot be limited or excluded under applicable law. If you are a consumer, you keep your statutory rights, including warranty rights for digital content, and nothing in this Agreement restricts them.
The Company may update this Agreement. The Company will notify you of material changes in the application at least 30 days before they take effect. If you do not agree, you may stop using the Services and uninstall the application before the changes take effect. If you continue to use the Services after that date, you accept the updated Agreement. Where applicable law requires your express consent to a change, the Company will ask for it.
This Agreement is governed by the laws of Austria, excluding its conflict-of-law rules, in line with section 8.3 of the DWS End User License Agreement. The UN Convention on Contracts for the International Sale of Goods does not apply. The competent courts in Vienna, Austria, have exclusive jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence and may bring claims in the courts there.
This Agreement, together with the DWS End User License Agreement and the Privacy Policy, is the entire agreement between you and the Company about the Services. If any provision is found unenforceable, the remaining provisions stay in effect. The Company's failure to enforce a provision is not a waiver. You may not assign this Agreement without the Company's prior written consent. The Company may assign it to an affiliate or to a successor in a merger or acquisition.
You must comply with applicable export control and sanctions laws. You may not use the Services in a country or region subject to comprehensive embargo, or if you are on a government list of restricted parties.
